PARENT-TEACHER ASSOCIATION
CONSTITUTION
Chapter 1: General Principles
1. Name: Chinese: 青松侯寶垣小學家長教師會
English: CHING CHUNG HAU PO WOON PRIMARY SCHOOL PARENT-TEACHER ASSOCIATION (the “Association”)
2. Address: Fu Tung Estate, Tung Chung, Lantau Island, N.T.
3. Aims:
(1) To strengthen the communication, liaison and cooperation between parents and teachers to enhance education;
(2) To foster, as an advisory body, a concerted effort in improving students’ performance in all aspects to enhance education;
(3) To facilitate parents’ participation in the activities of the School to enhance education;
(4) To support the School in teaching our children, and cultivating their moral, intellectual, physical, social and aesthetic development to enhance education;
(5) To improve the facilities of the School, promote charity, and help students to develop a sense of belonging to the School and society to enhance education.
Chapter 2: Membership, Rights and Obligations
1. Membership:
Parent-members: All parents or guardians of students currently enrolled in the School shall be eligible for membership. Membership is limited to one per family.
Teacher-members: The present Principal and all teachers of the School are ex-officio members.
Honorary members: All parents or guardians of former students and former teachers of the School are eligible to be Honorary members if they are interested to join the Association.
Advisors: School Supervisor, Managers, the present Principal are ex-officio advisors and need not be elected. Community leaders, former principals and teachers, and parents or guardians of former students of the School are eligible to be Advisors by invitation of the Executive Committee. They can participate in the activities and functions organized by the Association on a voluntary basis.
*If a member is both a teacher and a parent, he/she can only be a member of the Association as a teacher.
2. Rights:
Parent-members and teacher-members shall have (a) the right to propose and vote in meetings which they are entitled to attend, to elect and to be elected as office-bearers, the right to recall and the right of speech; (b) the right to participate in the activities organized by the Association.
Advisors and Honorary members are not entitled to elect or to be elected, or to have any right to propose or vote, or to recall.
3. Obligations:
All members shall observe the regulations set out in the Constitution of the Association and abide by the resolutions passed at any General Meetings. After joining the Association, members shall pay the membership fee within the prescribed time. The financial liabilities of members of the Association are limited to the annual membership fee only (voluntary donations excepted).
4. Membership Fee and Budgeting:
Parent-members: membership fee is to be paid annually.
Teacher-members: no membership fee is required.
Honorary members: membership fee is to be paid annually.
Advisors: no membership fee is required.
The Association may accept donations from members or non-members as resolved by the Executive Committee.
5. Cancellation and Cessation of Membership:
If the Executive Committee is satisfied that the member is in breach of the Constitution of the Association or acts in a way that is prejudicial to or jeopardizes the reputation of the Association, his/her membership shall be terminated by a resolution passed at the Extraordinary General Meeting and the membership fee previously paid shall not be refunded. Any member wishing to withdraw from the Association must give prior notice in writing to the Executive Committee and the membership fee paid will not be refunded.
Chapter 3: Organization
The organization of the Association shall consist of 1. General Meetings; 2. an Executive Committee; 3. Extraordinary General Meetings.
1. The General Meeting:
The General Meeting shall be the highest authority of the Association and be composed of all the members. The chairperson and the secretary of the Executive Committee shall be the chairperson and the secretary of the General Meeting respectively. The General Meeting shall be convened by the Executive Committee. The Executive Committee may convene Annual General Meeting(AGM) or Extraordinary General Meeting(EGM). The quorum for all General Meetings shall be 10% of the total number of the members. If a quorum is not present within half an hour from the time appointed for the holding of a General Meeting, the Chairperson shall declare an adjournment of the General Meeting. The adjourned General Meeting shall be convened within fourteen days thereof. All resolutions passed at the adjourned General Meeting shall be binding regardless of the number of the members present.
1.1 The Annual General Meeting shall be held in June every year and shall be convened at least once annually.
1.2 The business of the Annual General Meeting shall include, but not limited to:
1.2.1 reviewing and approving the annual report and the financial report of the Executive Committee;
1.2.2 approving and amending the Constitution of the Association;
1.2.3 electing members of the Executive Committee.
1.3.1 A resolution shall be passed if more than 50% of the total number of the members present vote in favour of it at the time of the General Meeting. The Chairperson shall have a second or casting vote in the case of an equality of votes.
1.3.2 If the Chairperson of the Executive Committee is absent, the Vice-chairperson of the Executive Committee shall chair the General Meeting.
1.3.3 When the General Meeting is in recess, all matters of the Association shall be conducted by the Executive Committee.
2. Executive Committee:
2.1 The responsibilities of the Executive Committee include the following:
2.1.1 to execute the resolutions passed at the General Meetings and Extraordinary General Meetings;
2.1.2 to handle the day-to-day affairs of the Association;
2.1.3 to put forward suggestions and advice to the General Meetings, as reference for the next Executive Committee in the decision-making process;
2.1.4 to discuss the affairs of the Association and plan for its future development.
2.2 All members of the Executive Committee shall not appoint or authorize any representative(s) to attend the meetings of the Executive Committee. Any suggestions shall be made to the Chairperson in writing. All members of the Association shall have the right to attend the meetings of the Executive Committee but have no right of voting. The old and new Executive Committees shall jointly hold the first meeting within fourteen days after the Annual General Meeting.
2.3 The Executive Committee shall be composed of seventeen (17) members, eight (8) of whom shall be parent-members who shall be nominated and elected in the Annual General Meeting; nine (9) of whom shall be teacher-members to be appointed by the Principal.
2.4 Composition of the Executive Committee:
2.4.1 Parent-members – Parent-members of the Executive Committee shall be elected in each Annual General Meeting. Members shall vote in person on the date of the election. Among the nominated members, the first eight members with the highest votes received shall be elected as members of the Executive Committee, and the remaining ones shall be on waiting list. If the number of votes is the same, it shall be decided by drawing lots. (*priority in the waiting list will be ordered by the number of votes)
2.4.2 Teacher-members – Teacher-members of the Executive Committee shall be appointed by the Principal.
2.5 Power and duties of the Executive Committee:
2.5.1 Chairperson (a parent-member)
To represent the Association in external liaison, to call and preside in General Meetings, Extraordinary General Meetings and Executive Committee Meetings, to lead the Executive Committee to perform its duties, to report the affairs of the Association at the General Meetings, and to arrange for the nomination and election of the members of the Executive Committee.
2.5.2 Vice-Chairperson (a teacher-member)
To assist the Chairperson to perform his/her duties and to act on behalf of the Chairperson in carrying out his/her duties in his/her absence.
2.5.3 Two Secretaries (one of whom shall be a parent-member and the remaining one shall be a teacher-member)
To handle all internal and external secretarial work, for instance, to prepare all agendas for meetings and compile all minutes of meetings, and to keep all correspondence and documents of the Association.
2.5.4 Two Treasurers (one of whom shall be a parent-member and the remaining one shall be a teacher-member)
There shall be one Treasurer and one Deputy Treasurer who shall prepare income and expenditure accounts of the Association, report on the financial situation of the Association at each Executive Committee meeting, and prepare annual balance sheet for the Executive Committee’s examination and for approval at Annual General Meetings.
2.5.5 Two Activities Officers (one of whom shall be a parent-member and the remaining one shall be a teacher-member)
To plan and implement all the activities organized by the Association.
2.5.6 Two General Affairs Officers (one of whom shall be a parent-member and the remaining one shall be a teacher-member)
To assist in the implementation of all the affairs of the Association.
2.5.7 Two Membership Officers (one of whom shall be a parent-member and the remaining one shall be a teacher-member)
The Membership Officers shall take charge of all matters relating to the record and registration of members. The information of the members shall be kept by the Membership Officers who shall keep confidential records of members. If necessary, access to the members’ records shall only be provided upon application by two or more present members of Executive Committee.
2.5.8 Five General Officers (two of whom shall be parent-members and three of whom shall be teacher-members)
2.5.9 Advisors / Honorary Advisors
To provide advice, guidance and assistance to the Executive Committee in the promotion and implementation of the affairs of the Association. They shall not have any right to elect or to be elected, to move or to vote, or any right of recall.
3. Extraordinary General Meeting:
If circumstances so require, an Extraordinary General Meeting may be convened by the Executive Committee on its own initiative or at the request of not less than fifty (50) members of the Association who shall raise such request in written form bearing their signatures to the Chairperson of the Executive Committee. In the latter case, the Chairperson of the Executive Committee shall cause the EGM to be held within 14 days after receipt of the request.
Chapter 4: Meetings
1. Annual General Meetings:
The Annual General Meeting shall be held at least once a year and shall be convened by the Chairperson of the Executive Committee. An Annual General Meeting shall be deemed validly constituted if it has a quorum of no less than ten percent of members of the Association at the time of the Meeting. Members who wish to propose a motion at the Annual General Meeting should give at least two weeks’ prior written notice to the Executive Committee to have the motion included in the agenda.
2. Extraordinary General Meetings
If circumstances so require, an Extraordinary General Meeting may be convened by the Executive Committee on its own initiative or at the request of not less than fifty (50) members of the Association who shall raise such request in written form bearing their signatures to the Chairperson of the Executive Committee. In the latter case, the Chairperson of the Executive Committee shall cause the EGM to be held within 14 days after receipt of the request.
3. Executive Committee
3.1 The members of the Executive Committee shall be elected at the Annual General Meeting. The term of office for all members of the Executive Committee shall be two (2) years commencing from the 1st September after being elected. Members of the Executive Committee may be re-elected, subject to the restriction that members shall not serve more than three consecutive terms. The teacher-members shall be appointed by the Principal and will not be subject to the restriction on the terms of office.
3.2 The Executive Committee shall hold at least three (3) meetings every year. If any member fails to attend two Executive Committee meetings without any reasonable excuses, his position will be automatically rescinded and the vacancy shall be filled by an alternate member. If the Chairperson resigns, members of the Executive Committee shall elect, among themselves, an alternate Chairperson to fill the vacancy; and when other positions become vacant, they shall be filled by alternate members. Not less than ten (10) members of the Executive Committee present shall constitute a quorum for each Executive Committee meeting.
3.3 A resolution passed by a majority of the Executive Committee members present at the meeting shall be valid and effectual. In the case of an equality of votes on any issue, the Chairperson shall be entitled to a further or casting vote.
3.4 If the child of an Executive Committee member graduates from the School during the term of office of the Executive Committee member, the member may remain in office until the expiry of his/her term of office; in other cases, the member shall be deemed to resign from his/her office after his/her child ceases studying in the School.
3.5 The Executive Committee shall have power to form Sub-Committees to plan and implement such specific activities as it may think fit. After the event is completed, the Sub-Committee will dissolve itself.
3.6 Within the same term of office, no two (2) members of the same family may serve as members of the Executive Committee.
3.7 All Executive Committee Members are honorary and shall not be entitled to receive remuneration or hold any paid position of the Association.
Chapter 5 : Finance
1. All income and property of the Association, howsoever derived, shall be applied solely towards the promotion of the aims of the Association as set forth in the Constitution of the Association, and no portion of the income and property shall be paid or transferred directly or indirectly, by way of bonus or otherwise howsoever to member of the Association.
2. The Treasurer shall report on the financial situation of the Association at the meetings of the Executive Committee and Annual General Meetings.
3. The effective period of the annual membership fee of the Association commences from 1st September each year to 31st August of the following year. All existing and new members are required to pay the annual membership fee within the month of September each year, and failure to do so might render forfeiture of the right to elect or to be elected at the General Meetings due to incomplete membership procedures. Parent-members of newly admitted students shall pay the membership fee within one week of the admission of their children to the School.
4. Official receipts shall be issued to all subscriptions and income to the Association, which shall be deposited in an appointed bank. Withdrawals of money from such bank account shall require joint signatures of the two elected Treasurers.
5. If necessary, the Executive Committee may request the School to assist in the collection of the membership fees and the issuance of receipts therefor.
6. The Association shall keep a full record of all funds received and disbursed by the Association (including donation receipts and vouchers and invoices of income and expenditure) for seven years, maintain proper books of account, and prepare a financial report every year.
7. An Honorary Auditor shall be appointed at the Annual General Meeting to review the annual statement of accounts and balance sheet of the Association at the end of each financial year. (The financial year of the Association shall be from 1st September each year to 31st August of the following year.)
8. The budget of the Association shall be compiled in accordance with the principles of keeping expenditures within the limits of revenues and maintaining a balance between revenues and expenditures. The Association shall not incur debts.
9. If a member of the Executive Committee is in any way directly or indirectly interested in a transaction, arrangement or contract or a proposed transaction, arrangement or contract with the Association that is significant in relation to the Association’s business, and the member’s interest is material, the member must declare the nature and extent of his/her interest to the other members of the Executive Committee.
10. A member of the Executive Committee must neither vote in respect of a transaction, arrangement or contract or a proposed transaction, arrangement or contract in which the member is so interested, nor be counted for quorum purposes in respect of the transaction, arrangement or contract. It the member of the Executive Committee votes in respect thereof, the vote must not be counted.
11. In the event of the dissolution of the Association, any remaining assets of the Association shall, by a decision in a General Meeting, be donated to the Incorporated Management Committee of Ching Chung Hau Po Woon Primary School or an approved charity for charitable purposes.
Chapter 6: Executive Committee (Parent-Member) Election
6.1 The Candidature
6.1.1 All parents of current students of the School are eligible to become candidates for the election. Parents in relation to a student include a guardian of the student and a person who is not the parent or guardian of the student but has the actual custody of the student.
6.2 Nomination Procedures
6.2.1 The present Chairperson of the Association will issue a letter informing all parents of the details in relation to the election of members of the Executive Committee of the Association, including the number of member vacancies, the period of nomination, method of nomination, date of voting, date of counting session, date of announcement of results and other relevant information. A nomination form shall be enclosed.
6.2.2 A letter will be issued by the present Chairperson of the Association inviting all parents to nominate oneself or another eligible candidate to stand for the election within two weeks of the date of the letter. If a parent nominates another parent as candidate to stand for the election, prior consent from the nominee should be obtained before any nomination is made; otherwise, the nomination shall be void.
6.2.3 If no one stands for candidature in the election, the Association may consider extending the deadline of nomination or conducting the election again after a lapse of some time.
6.2.4 There is no limit to the number of candidates. Each family shall have one vote. No more than eight candidates will be elected from the candidates to become members of the Executive Committee.
6.2.5 The election procedures should cater for such occasions and special arrangements should be made according to the principle of fairness, transparency and simplicity

6.3 Candidates’ Information
6.3.1 Each nominated candidate should supply, to the present Chairperson of the Association, a brief statement of his/her personal information in accordance with the word limit stipulated by the Association.
6.3.2 Not less than seven days before the election day, the present Chairperson of the Association should issue another letter to all parents listing the names of the candidates being nominated. The brief introductory statements of the candidates including their declarations should be attached. The letter should also explain the procedures and the time-table of the election.
6.4 Electors’ Eligibility
6.4.1 All parents of current students of the School are eligible to vote. All teachers of the School who are ex-officio members of the Association also have the right to vote. Every eligible elector has equal voting right.
6.4.2 Each family shall have only one vote irrespective of the number of children studying at the School, and the family shall vote as a unit.
6.5 Election Procedures
6.5.1 Date of Voting
The period between the date of voting for Executive Committee (Parent-Member) election and the deadline of nomination should at least be two weeks.
6.5.2 Voting Method
6.5.2.1 To ensure a fair election, the voting shall be conducted by secret ballot, i.e. electors are not allowed to put down their names or any other marks of identification on the ballot paper and should not let the other electors see whom they have voted for.
6.5.2.2 A ballot box shall be made available for the election. It should be locked and the key should be kept by the Returning Officer and the present Chairperson of the Association.
6.5.2.3 Parents should return their ballot papers sealed in envelopes specifically designed for that purpose by placing them into the ballot box in person on the election day. All ballot papers received after the date of voting shall be deemed invalid.
6.5.3 Counting of Votes
6.5.3.1 Counting of votes shall take place immediately after voting closes. The Returning Officer shall arrange a counting session and invite the principal, the present Execution Committee of the Association and all candidates to attend and witness the counting of votes. During the counting session, the Returning Officer must make sure that all ballot papers have been poured out from the ballot box before counting starts. A ballot paper will be deemed invalid if –
(1) the number of candidates marked on the ballot paper exceeds the number that is allowed;
(2) the ballot paper has not been marked properly; or
(3) the ballot paper is marked in such a way that the identity of the elector can be traced.
6.5.3.2 The eight (8) candidates who obtain the greatest number of votes will be nominated as the members of the Executive Committee of the Association.
6.5.3.3 When two or more candidates obtain the same number of votes, the election results shall be determined by drawing lots by the Returning Officer under the witness of the candidates who obtain the same number of votes.
6.5.3.4 After the election, the present Chairperson of the Association shall seal all the cast ballot papers in an envelope which will be signed by him/her.
6.5.3.5 The envelope and the cast ballot papers shall be kept by the Association for at least six months. This is to facilitate investigations in case of allegations against voting irregularity.
6.5.4 Announcing Results
Upon completion of the counting of votes, the present Chairperson of the Association shall issue a letter or electronic notice informing all members of the Association of the results of the election within one week.
6.6 Filling of Casual Vacancies
6.6.1 If a parent-member of the Executive Committee whose child is no longer a current student of the School during his/her term of office, he/she shall continue to be the parent-member until the term of office expires.
6.6.2 If a vacancy of a parent-member of the Executive Committee arises as a result of a parent-member resigning during his/her term of office, the Association shall conduct a by-election in the same manner to elect another parent-member to fill the vacancy within three months.
6.7 Handover
6.7.1 The newly elected Executive Committee members shall, within fourteen days after being elected, complete the election among themselves.
6.7.2 The outgoing Executive Committee members shall commence the handing over of outstanding tasks to the newly elected Executive Committee members within one month after the election, and the handing over should be completed before 1st September.
Chapter 7: Parent Manager and Alternate Parent Manager Election
7.1 The Association shall conduct the election of a Parent Manager and an Alternate Parent Manager and nominate for registration as the managers of the Incorporated Management Committee in accordance with the general requirement of composition of Incorporated Management Committee as provided for in section 40AL of the Education Ordinance. The election procedures of the Parent Manager and Alternate Parent Manager shall be fair and transparent, and detailed arrangements of the election shall be made known to all parents by way of notices.
7.2 The Candidature
7.2.1 All parents of current students of the School are eligible to become candidates. Parents in relation to a student include a guardian of the student and a person who is not the parent or guardian of the student but has the actual custody of the student.
7.2.2 A parent should not be nominated as a Parent/Alternate Parent Manager if he/she:
(i) is a serving teacher of the School [Section 40AO(5)(b) of the Education Ordinance refers]; or
(ii) does not meet the registration requirements of managers set out in Section 30 of the Education Ordinance.
7.2.3 As stipulated in the Education Ordinance, no manager shall serve in an Incorporated Management Committee in more than one capacity. Thus, no one can serve as a Parent Manager and an Alumni Manager at the same time. If there are two elections under different categories to be conducted concurrently in the School, no candidate shall participate in more than one election.
7.3 Number & Tenure
7.3.1 One Parent Manager and one Alternate Parent Manager shall be elected.
7.3.2 The term of office of a Parent Manager shall be two years.
7.4 Nomination Procedures
7.4.1 Returning Officer
The Association will assign a Returning Officer to monitor the nominations and supervise the issue of ballot papers and counting of votes. The Returning Officer will be elected from among the members of the Executive Committee of the Association, or a teacher appointed by the School, but the Returning Officer cannot be the candidate for the election of Parent/Alternate Parent Manager.
7.4.2 Period of Nomination
The period of nomination for the Parent Manager election shall be within seven (7) days of the issuance of notice inviting nomination of candidates.
7.4.3 Nomination
7.4.3.1 The Returning Officer will issue a letter informing all parents of the electoral matters of the Parent Manager election including the number of Parent Manager vacancies, the period of nomination, method of nomination, date of voting, date of counting session, date of announcement of results and other relevant information. A nomination form shall be enclosed.
7.4.3.2 The Returning Officer shall outline in the letter the eligibility of candidates [the aforesaid paragraphs 7.2.1 – 7.2.3 refer] and responsibilities of candidates.
7.4.3.3 A parent may nominate oneself or not more than one eligible candidate to stand for the election. If a parent nominates another parent as candidate to stand for the election, prior consent from the nominee should be obtained before any nomination is made; otherwise, the nomination shall be void.
7.4.3.4 If no one stands for candidature in the election, the Association may consider extending the deadline of nomination or conducting the election again after a lapse of some time. The election procedures should cater for such occasions and special arrangements should be made according to the principle of fairness, transparency and simplicity.
7.4.4 Candidates’ Information
7.4.4.1 Each nominated candidate should supply to the Returning Officer, a brief statement of his/her personal information in accordance with the word limit stipulated by the Association.

7.5 Electors’ Eligibility
7.5.1 All parents of current students of the School are eligible to vote. A teacher of the School who is the parent of a current student of the School and an ex-officio member also has the right to vote. Every eligible elector has equal voting right.
7.5.2 Every parent should vote individually and should have only one vote irrespective of the number of children the parent has at the School.
7.5.3 To facilitate administrative arrangements, the Association will give students two votes each for their parents to vote. On request, a ballot paper may be given to the guardian of the student or the person who has the actual custody of the student.
7.6 Election Procedures
7.6.1 Date of Voting
The period between the date of voting for Parent Manager election and the deadline of nomination should at least be two weeks.
7.6.2 Voting method
7.6.2.1 To ensure a fair election, the voting should be conducted by secret ballot, i.e. electors are not allowed to put down their names or any other marks of identification on the ballot paper and should not let the other electors see whom they have voted for.
7.6.2.2 A ballot box shall be made available for the election. It should be locked and the key should be kept by the Returning Officer.
7.6.2.3 Parents should return their ballot papers sealed in envelopes specifically designed for that purpose by placing them into the ballot box in person or through their children on the election day. All ballot papers received after the date of voting shall be deemed invalid.
7.6.3 Counting of Votes
7.6.3.1 The Returning Officer should arrange a counting session during which all the votes shall be counted by the members of the Election Committee, and invite all parents and all candidates to attend and witness the counting of votes.
7.6.3.2 The Chairperson of the Association, the Returning Officer and/or the Principal of the School should participate to witness the counting. During the counting session, the Returning Officer must make sure that all ballot papers have been poured out from the ballot box before counting starts. A ballot paperer will be deemed invalid if –
(1) the number of candidates marked on the ballot paper exceeds the number that is allowed;
(2) the ballot paper has not been marked properly;
(3) the ballot paper or the envelope specifically designed for that purpose is marked in such a way that the identity of the elector can be traced; or
(4) the envelope specifically designed for that purpose has not been sealed.
7.6.3.3 The candidate who obtains the greatest number of votes will be nominated for registration as the Parent Manager whereas the one who obtains the next greatest number of votes will be nominated for registration as the Alternate Parent Manager.
7.6.3.4 When two or more candidates obtain the same number of votes, the election results shall be determined by drawing lots by the Returning Officer under the witness of the candidates who obtain the same number of votes.
7.6.3.5 After the election, the Returning Officer should put all the cast ballot papers in an envelope, which will then be signed and sealed by him/her and the Chairperson of the Association.
7.6.3.6 The envelope and the cast ballot papers should be kept by the Association for at least six months. This is to facilitate investigations in case of allegations against voting irregularity.
7.6.4 Announcing Results
7.6.4.1 The Returning Officer may issue a letter or electronic notice informing all parents of the results of the election.
7.6.4.2 Unsuccessful candidates may, within one week of the announcement, appeal to the Association in writing together with the reasons.
7.6.4.3 All appeals will be internally handled by the Association.
7.7 Filling of Casual Vacancies
7.7.1 If a Parent Manager whose child is no longer a current student of the School during his/her term of office, he/she shall continue to be the manager until the term of office expires or the end of the School year, whichever is the earlier.
7.7.2 If a Parent Manager vacancy arises as a result of a Parent Manager resigning during his/her term of office or other reasons, the Association shall conduct a by-election in the same manner to elect another Parent Manager to fill the vacancy within three months.
Chapter 8: Appendix
1. In case of any ambiguity in the content of any clause herein contained, the Executive Committee’s interpretation shall be definitive for the sake of efficiency.
2. Any amendment to the Constitution of the Association must be passed by more than two-thirds of the members present at the Annual General Meeting or Extraordinary General Meeting. The Chairperson of the Executive Committee shall notify all the members of the Association in writing of the date of the Annual General Meeting or Extraordinary General Meeting and the proposed amendments at least two weeks prior to the meeting. A draft of the amendments shall be submitted by the Secretary to the Registrar of Societies by registered post within fourteen days, and the amendments shall only take effect after being approved by the Registrar of Societies.
3. A warning will be given to a member of the Association or a member of the Executive Committee, or the rights as member of the Association will be forfeited, if the Executive Committee is satisfied that:
(1) the member is in breach of the Constitution of the Association or the resolutions passed at any General Meetings;
(2) the member is convicted of a criminal offence in Hong Kong;
(3) the member has misused the name of the Association and jeopardized the reputation of the Association; or
(3) the member fails to pay the membership fee.
4. The Association should not in any way be involved in any political activities.
5. The Association shall not be bound by any decision or resolution other than those passed in the Annual General Meetings, Extraordinary General Meetings or Executive Committee meetings.
